These Terms and Conditions ("Terms") govern your access to and use of RosterHelp, a volunteer operations and scheduling platform operated by Golden Pond Investments Inc. ("we", "us", or "our"). By creating an account or using any part of the platform, you agree to be bound by these Terms. If you do not agree, do not use RosterHelp.

1. Acceptance of Terms

By accessing RosterHelp at app.rosterhelp.com, you confirm that you are at least 18 years old, have the authority to bind your organization to these Terms where applicable, and agree to comply with them in full.

2. Description of Service

RosterHelp is a cloud-based software-as-a-service (SaaS) platform that provides tools for volunteer management, shift scheduling, hours tracking, qualifications tracking, email communication, and related operational functions for non-profit and community organizations. Features vary by plan as described on our pricing page.

3. Accounts and Access

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms or that are used for fraudulent or abusive purposes.

Each organization's data is isolated. You may not attempt to access data belonging to another organization.

4. Acceptable Use

You agree not to:

• Use RosterHelp for any unlawful purpose or in violation of any applicable laws or regulations.
• Upload, transmit, or store content that is defamatory, harassing, discriminatory, or otherwise harmful.
• Attempt to reverse engineer, decompile, or extract the source code of the platform.
• Use automated scripts, bots, or other tools to scrape or overload the platform.
• Resell, sublicense, or otherwise commercialize access to RosterHelp without our written consent.
• Misrepresent your identity or organizational affiliation.

5. Free Plan

RosterHelp offers a free plan with no expiry date, limited to 10 volunteers and one coordinator account. The free plan includes access to the full feature set within those limits. We reserve the right to modify the free plan's limits or discontinue it with 30 days' notice to existing free plan users.

6. Paid Subscriptions

Paid plans are billed monthly. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. All fees are stated in USD and are exclusive of applicable taxes. You are responsible for any taxes imposed by your jurisdiction. Prices may change with 30 days' notice. Continued use after a price change constitutes acceptance of the new price.

7. Cancellation and Termination

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial months. After cancellation, you retain access until the end of the paid period, after which your account reverts to the free plan limits or closes if you prefer. Your data is retained for 30 days post-cancellation to allow export or reactivation.

We may terminate or suspend your access for violation of these Terms, non-payment, or if required by law, with or without prior notice depending on the severity of the breach.

8. Data and Privacy

Your use of RosterHelp is also governed by our Privacy Policy. You retain ownership of all data you enter into the platform. By using RosterHelp, you grant us a limited license to process that data solely to provide the service. We do not claim ownership of your data and will not use it for purposes outside of operating RosterHelp.

9. Intellectual Property

RosterHelp, its name, logo, software, and all associated content are the intellectual property of Golden Pond Investments Inc. Nothing in these Terms grants you ownership of or a license to our intellectual property beyond the right to use the platform as described herein.

10. Disclaimer of Warranties

RosterHelp is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the platform will be uninterrupted, error-free, or entirely secure. We will, however, work in good faith to resolve issues promptly.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Golden Pond Investments Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of revenue, or loss of goodwill, arising from your use of or inability to use RosterHelp. Our total liability to you for any claim shall not exceed the amount you paid us in the 3 months preceding the claim.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Michigan, United States of America, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Michigan, and you consent to the exclusive jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the platform. Continued use of RosterHelp after changes are effective constitutes your acceptance of the updated Terms.
